TEAM & ROLE
To help accelerate the company’s growth ambition, we are looking for a (Senior) Legal Counsel – Corporate M&A to strengthen our global legal team with the right set of skills and experience to support the execution of strategic projects, M&A and corporate matters.
We are looking for a driven person with a broad interest in handling M&A activities and corporate projects. This role will include providing pragmatic advice and support to the Deputy General Counsel – Corporate and Group General Counsel on various cross-functional projects. You will take the lead on (i) M&A matters (e.g., DD, and transaction documents); (ii) intercompany projects, such as post-merger integration, restructuring and incentive initiatives; and (iii) Dutch corporate law matters.

Key Responsibilities
- You’ll be responsible for high-quality (corporate) advice and documents with minimal supervision.
- You’ll ensure that M&A and related risks are managed and escalated as necessary.
- You’ll support and guide your colleagues in strategic trading and/or financing projects.
- You’ll play a key role in conducting annual Legal Audit and coordinating implementation of appropriate mitigation measures.
- You’ll support the Deputy General Counsel – Corporate on the execution of the long-term incentive plan and in exploring automation potential for the plan.

Key Requirements
- Qualified lawyer with approximately 6-8 years of work experience, gained at a top-tier law firm and preferably in-house (experience with the energy sector is a plus, but not a prerequisite), with Dutch corporate law qualification.
- Ability to work in a fast-paced international environment and flexibility to adapt to a changing business when needed.
- Good drafting, analytical and communication skills, with excellent project management skills.
- Excellent communication (written and verbal) skills in Dutch and English and proficient in working with cross department colleagues.
- Ability to work both independently and as part of a team.
- Available on a full-time basis.
